This End User License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and ClearPlay Inc. (“ClearPlay”) governing your use of all ClearPlay software, applications, filters, firmware, and related digital components (collectively, the “Software”). This Agreement applies to Software used in connection with:
ClearPlay’s streaming and online filtering services,
ClearPlay’s browser extensions (including the ClearPlay Chrome extension) and web applications, and
ClearPlayenabled hardware devices and filter files, as further described in the Hardware & Filter Appendix.
By installing, downloading, accessing, or using any portion of the Software, you agree to be bound by this Agreement. Your use of the Software is also subject to the ClearPlay Terms & Conditions. If you do not agree, you may not use the Software.
2. License Grant
Subject to your compliance with this Agreement and an active ClearPlay membership where required, ClearPlay grants you a limited, nonexclusive, nontransferable, nonsublicensable license to:
install and use the Software on your personal devices,
access and use ClearPlay’s filtering functionality for personal, noncommercial use, and
download and use ClearPlay Filters as permitted by your membership and device compatibility.
This is a license, not a sale. ClearPlay retains all rights not expressly granted.
3. Restrictions
You may not, and may not permit any third party to:
copy, modify, distribute, or create derivative works of the Software;
reverse engineer, decompile, or attempt to derive source code (except where prohibited by law);
circumvent or disable any security or accesscontrol mechanisms;
use the Software for commercial purposes or share access outside your immediate household;
use ClearPlay trademarks or branding without permission;
use the Software in violation of any applicable law.
Additional restrictions for hardware devices and filter files appear in the Hardware & Filter Appendix.
4. Automatic Updates
The Software may automatically download and install updates, enhancements, or bug fixes. By using the Software, you consent to receiving such updates without additional notice.
5. Browser Extension Notice
If you install or use the ClearPlay Chrome extension or any other browserbased extension, you acknowledge that the extension may interact with your browser to enable filtering functionality and may automatically update in accordance with your browser’s update settings.
6. Termination
ClearPlay may suspend or terminate your license immediately if:
you violate this Agreement,
your membership expires or is cancelled (where required for Software use),
fraudulent or unauthorized activity is detected, or
ClearPlay discontinues the Software or any portion of the Service.
Upon termination, you must stop using the Software and delete all copies in your possession. Additional deletion requirements for hardware filters appear in the Appendix.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CLEARPLAY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, OR ACCURACY.
You use the Software at your own risk.
8. Limitation of Liability
To the maximum extent permitted by law:
ClearPlay’s total liability arising out of this Agreement shall not exceed the greater of (a) the amount paid for the Software in the twelve (12) months preceding the claim, or (b) fifty dollars (USD $50).
ClearPlay is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of data, profits, or business interruption.
Nothing in this Agreement limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.
9. Indemnification
You agree to indemnify and hold harmless ClearPlay and its affiliates from any claims, damages, or expenses arising from:
your misuse of the Software,
your violation of this Agreement, or
your violation of applicable law.
10. Export Controls
You agree to comply with all U.S. and international export laws. You may not use or export the Software in violation of such laws.
11. Government Restricted Rights
If the Software is provided to the U.S. Government, it is delivered with “Restricted Rights” as defined in applicable DFARS and FAR provisions. Use, duplication, or disclosure is subject to the restrictions in those regulations.
12. Assignment
You may not assign this Agreement. ClearPlay may assign it without notice, including in connection with a merger, acquisition, or sale of assets.
13. Governing Law
This Agreement is governed by the laws of the State of Utah, without regard to conflictoflaw principles.
14. Severability and Survival
If any provision is found unenforceable, the remaining provisions remain in effect. Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, export controls, and governing law survive termination.
15. ThirdParty Beneficiary
ClearPlay Inc. is a direct and intended thirdparty beneficiary of this Agreement and may enforce it against any Licensee.
HARDWARE & FILTER APPENDIX
(Applies only to ClearPlay DVD/Bluray players and legacy filter files)
A1. Scope
This Appendix applies to:
ClearPlayenabled DVD and Bluray players,
Filter files delivered in .cpf, .cp2, or similar formats, and
Any Software embedded in or used with such devices.
If you do not use ClearPlay hardware, this Appendix does not apply to you.
A2. DeviceSpecific License
You are granted a limited license to install and use Filter files on a single ClearPlaycompatible DVD/Bluray player for personal use only.
This license is valid only while your ClearPlay membership is active.
A3. FileType and Device Restrictions
Filter files may not be used on any other device unless expressly authorized by ClearPlay.
Filters may not be copied, transferred, or used on multiple devices.
A4. Mandatory Deletion Upon Termination
Upon termination of your ClearPlay membership or this Agreement:
all Filter files (.cpf, .cp2, or similar) must be deleted from your player,
all copies stored on computers, USB drives, or other media must be removed.
A5. HardwareSpecific Warranty Disclaimer
NONE OF THE SUPPLIERS OF THE FILTERS MAKES ANY WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, REGARDING THE FILTERS OR THEIR OPERATION ON ANY DEVICE.
You accept the Filters “as is” at your own risk.
A6. HardwareSpecific Limitation of Liability
NONE OF THE SUPPLIERS OF THE FILTERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF FILTERS OR HARDWARE.
A7. Assignment for Hardware
You may assign this license only in connection with the sale or transfer of the physical ClearPlayenabled DVD/Bluray player.
